Any of yous gumbats seen anything like this in one of your light contracts when you repped SF or VS?

9. Choice of Law.
This Agreement will be governed by, construed and enforced in accordance with the laws of China (excluding Hong Kong, Macao and Taiwan), without regard to its conflicts of law principles or provisions. Any disputes arising out of or in connection with this Agreement shall be finally exclusively settled by the People's Court of Yuexiu District, Guangzhou, China, where the Contract is signed.

This is not for lights.

Not sure how I feel about that. Thoughts?

Moe,
I have seen that is construction contracts. The specific clause I am aware is the lawsuit was to be fought in the state the contractor resides in. It is home court advantage and can be a negative for the person not from the area

You have to be careful because there can be things that are legal in that providence or state of China that can really screw you and your rights. What I would do with contracts that had clauses I did not like was simple. I would red line numerous items at the beginning of the contract that where kind of meaningless or I really was Ok with. I would offer those items up and allow them to stay in the contract but take a hard line to the items I was not going to give on. It puts the person you are working with in a bad position because you look like you are working in good faith to negotiate in a fair and reasonable manner. If they will not budge on the items you are not willing to budge on it looks like they are NOT negotiating in a reasonable manner.

The conclusion, interpretation, performance and validity of this Agreement and the Annexes shall be governed
by the laws of USA.The two sides should be friendly. Disputes arising from the performance of this Agreement
shall be settled through negotiation. If no settlement can be reached through negotiation, Either party may apply to a
court in USA to settlement of the dispute.

Here is what my VS contract said.

They made you sign contracts? When I won the VS XS1500 I didn't sign shit. They just wanted me to start a journal.

I was being sponsored by them for a year, i didnt win anything lol.
It was a BS contract to begin with.
All it was for was if things went south and i became a douchebag, but Logic took care of that for me🤣🤣

She went ahead and signed it. Spoke to a paralegal friend and pretty much is unenforceable from either side, our legal systems do not mesh well or hold sway in either direction.

They never gave me any paperwork to sign, just expected due diligence.

I got 3 lights and 2 tents from them I only signed 1 contract. the last one for the 5x5 and I committed to 50 post over 4 months with their name in the title. I copied it to paint, scrawled my name on it and emailed it back to them.

Years ago we something similar in a manufacturing contract we were able to renegotiate and bring legal issues to our state , but we still received shitty product- don’t get me wrong we try prolly 25% in the trash and still cheaper than our own product
